Head of Legal – Renewable Energy / M&A
Germany | International Renewable Energy Developer
I’m currently working with an established international renewable energy developer who is looking to appoint a Head of Legal to support its continued growth and expansion across Germany and wider European markets.
This is a senior in-house legal opportunity for an experienced lawyer with approximately 8-10 years of experience in corporate law and M&A, with a particular focus on mergers and acquisitions, corporate transactions and investment-related legal matters.
The business has an established international presence across multiple European markets and is continuing to expand its portfolio of utility-scale Solar PV and Battery Energy Storage (BESS) projects.
As the company continues to grow, they are looking for a commercially minded legal professional who can take ownership of legal matters, lead M&A transactions and provide strategic legal support to the wider business.
The Role
As Head of Legal, you will take responsibility for a broad range of corporate and transactional legal matters, acting as a key legal partner to senior management and supporting the company’s continued expansion.
Your responsibilities will include:
-
Leading and managing M&A transactions, including acquisitions, disposals, joint ventures and strategic investments.
-
Overseeing the legal due diligence process, identifying risks and coordinating external legal advisers.
-
Drafting, reviewing and negotiating transaction documentation, including SPAs, SHAs, NDAs, LOIs and other corporate agreements.
-
Providing legal advice on corporate governance, company structures and commercial transactions.
-
Supporting the acquisition and development of renewable energy projects across Germany and other European markets.
-
Managing relationships with external law firms, legal advisers and other transaction stakeholders.
-
Advising senior management on legal risks, transaction structures and corporate strategy.
-
Supporting negotiations with investors, development partners, financial institutions and other stakeholders.
-
Ensuring compliance with relevant corporate, commercial and regulatory requirements.
-
Developing and improving internal legal processes, documentation and governance structures.
-
Acting as a central legal point of contact for the wider business and its international teams.
What They’re Looking For
-
Approximately 8-10 years of professional legal experience.
-
Strong background in M&A and corporate law, with a particular focus on executing and managing M&A transactions.
-
Experience gained within a reputable law firm, in-house legal department or a combination of both.
-
Proven experience managing complex corporate transactions from initial structuring and due diligence through to negotiation and completion.
-
Strong knowledge of corporate structures, shareholder agreements, acquisition agreements and investment transactions.
-
Experience working with external legal advisers and managing multiple stakeholders throughout transactions.
-
Commercially minded, with the ability to translate complex legal matters into practical business solutions.
-
Comfortable working independently and taking ownership of legal matters.
-
Excellent communication, negotiation and stakeholder management skills.
-
Fluent German and strong English language skills.
Particularly advantageous:
-
Previous experience within renewable energy, infrastructure, energy or another project-driven industry.
-
Exposure to cross-border M&A transactions.
-
Experience supporting acquisitions of renewable energy projects, portfolios or development platforms.
-
Experience working in an international business environment.
Why Consider This Opportunity?
-
Senior responsibility: Take ownership of legal matters and play a central role in the company’s corporate and transactional activities.
-
M&A exposure: Lead significant acquisition and investment transactions within the renewable energy sector.
-
